Terms & Conditions of doing business with IngPro Limited
1.0 Definitions
1.1. ‘Customer’ means the party with whom IngPro Ltd contracts
1.2. ‘Contract’ means the contract made between IngPro Ltd and the customer for the provision of consultancy services, advice, or interim management services.
2.0 Basis of Contract
2.1. These conditions shall form the terms and conditions of the contract and shall apply to the exclusion of all others.
2.2. Any quotation is for information
2.3. The contract will only be accepted by IngPro Ltd when a written acknowledgement is agreed by IngPro Ltd.
2.4 The contract shall be governed by English law.
2.5 The contract does not create any agency or partnership between IngPro Ltd and the customer, or any other party.
2.6 The contract does not intend or establish any form of contract of employment service between the customer & IngPro Ltd or employees and officers of IngPro Ltd.
3.0 Payment
3.1. IngPro Ltd will invoice the customer at the agreed price.
3.2. Quoted prices are exclusive of VAT, which will be charged at the appropriate rate.
3.3. IngPro Ltd reserves the right to change quoted prices following notification to the customer.
3.4. The customer will pay the invoice within 14 days. Late payment will be charged at 4% over the current base rate for NatWest Bank.
4.0 Warranty on Consultancy & Interim Management Services provided by IngPro Ltd
4.1. IngPro Ltd. shall not be liable to the customer in contract, tort or delict (including without limitation negligence) and/or breach of statutory duty for any direct, indirect or consequential including economic loss of any kind which the customer may suffer by reason of any act, omission, neglect or default (including without limitation negligence) in the performance of the contract by IngPro Ltd, its officers, employees, servants or agents.
4.2. Any advice given to the customer by IngPro Ltd, its officers, and employees is given in good faith, and the Customer is solely responsible for the decision to use that advice, and any consequences. IngPro Ltd shall not be liable to the customer in contract, tort or delict (including without limitation negligence) and/or breach of statutory duty for any direct, indirect or consequential including economic loss of any kind which the customer may suffer by reason of using such advice (including without limitation negligence) given by IngPro Ltd, its officers, employees, servants or agents.
4.3. These clauses do not operate so as to exclude any legal or statutory rights of the customer, nor legal or statutory liabilities of IngPro Ltd.
5.0 Delivery of Goods
5.1. Quoted delivery times are estimates only. IngPro Ltd will not be liable for any failure to meet such an estimate, nor for any loss of whatsoever nature resulting directly or indirectly from such failure.
5.2. IngPro Ltd reserves the right to deliver earlier than any quoted delivery date.
5.3. IngPro Ltd reserves the right to part ship, and each shipment shall constitute a separate contract.
5.4. IngPro Ltd will notify the customer when the goods are available, or if agreed in writing, deliver the goods to the agreed address.
5.5. If the Customer fails to take delivery of the goods, or collect the goods after being notified of their availability, IngPro Ltd may (without prejudice to other rights and remedies)
5.5.1. Store the goods and charge the customer for all associated costs &/or
5.5.2. Sell the goods and charge the customer any costs not recovered.
5.6. In the event that the goods supplied by IngPro Ltd are incorrect according to the agreed specification, then the customer must notify IngPro Ltd within 7 working days in writing. IngPro Ltd will at its discretion either repair or replace the goods, or refund the price in part or wholly.
5.7. In the event that the quantity of the goods supplied by IngPro Ltd is incorrect according to the contract, then the customer must notify IngPro Ltd within 7 working days in writing. IngPro Ltd will at its discretion either make up the deficit of parts, or refund the price to reflect the shortage.
6.0 Tools and Dies
6.1. Any tool, die, mould, jig or fixture paid for in total or in part by IngPro Ltd will remain the property of IngPro Ltd.
6.2. Any tool, die, mould jig or fixture that belongs to IngPro Ltd can be used for any contract or for use with other customer’s contracts.
6.3. In the event of tools, dies, mould, jigs or fixtures being supplied by the Customer, the customer is responsible for their insurance, as well as maintenance and repair. IngPro Ltd shall not accept any responsibility for such items.
6.4. If IngPro Ltd manufactures any tools, dies, moulds, jigs or fixtures at the request of the customer, before an order has been placed by the Customer, the customer will be responsible for all costs.
6.5. In the event that a Customer does not order the quoted number of parts for which special tooling, dies, moulds, jigs or fixtures have been made, IngPro Ltd will be entitled to charge the appropriate costs to the Customer.
6.6. If any tooling, dies, moulds, jigs or fixtures have been manufactured according to the Customer’s specification, the Customer will pay in full for any subsequent alterations requested.
7.0 Risk and title on goods
7.1. Risk on the goods shall pass to the customer immediately on delivery or on collection by the customer.
7.2. Property in, and title to the goods shall remain with IngPro Ltd until full and complete payment has been received by IngPro Ltd.
7.3. In the event of failure by the customer to make full and complete payment within the agreed term, IngPro Ltd reserves the right to remove the goods without the need for consent from the customer or any third party and to charge the customer for any costs involved.
8.0 Warranty on goods
8.1. The customer warrants to IngPro Ltd that the Goods are sufficient and suitable for the purposes intended (whether by the Customer or a third party)
8.2. The customer shall (without prejudice to other rights an remedies available to IngPro Ltd) indemnify IngPro Ltd in full against all loss, costs, damages, charges, expenses, and other liabilities awarded against or incurred by IngPro Ltd as a result or in connection with
8.2.1. any claim for infringement of any patent, copyright, design right, registered design, trademark or other intellectual property rights of any other person, and/or for passing off and or unauthorised use of confidential information which results from IngPro Ltd’s use of the Customers specifications, drawings etc.,
8.2.2. any other liability of any kind, to any third party, including without limitation for defective goods, personal injury, or death to the extent that it arises from the specification.
8.3. The customer warrants to IngPro Ltd that the goods are to be used for legal purposes and that their manufacture supply & use does not contravene any United Nations, or other international or national legislation, embargoes, sanctions or treaties. The customer shall (without prejudice to other rights an remedies available to IngPro Ltd) indemnify IngPro Ltd in full against all loss, costs, damages, charges, expenses, and other liabilities awarded against or incurred by IngPro Ltd as a result.
8.4. It shall be the responsibility of the customer to ensure that all requirements applicable to the contract, whether statutory, regulatory, municipal and / or otherwise howsoever (including without limitation any relating to the importation or use of the goods in the country of destination and for the payment of duties thereon) are duly complied with. It shall be a condition precedent to the performance by IngPro Ltd of its obligations under the contract that all necessary licenses, permits, and consents shall have been obtained by the customer.
8.5. The customer shall be responsible for ensuring the accuracy and sufficiency of its order, including any specification, drawing, or samples supplied. Any changes later requested by the customer will be liable to charges to the customer.
8.6. In the event of any defect in materials or workmanship, the customer must notify IngPro Ltd with 7 working days from receipt of the goods. Or within 7 days from such defects being discovered. And in any case before 12 months from delivery. IngPro Ltd. shall not be liable to the customer in contract, tort or delict (including without limitation negligence) and/or breach of statutory duty for any direct, indirect or consequential including economic loss of any kind which the customer may suffer by reason of any defect in the goods. The customer will only be entitled to any warranty provided by the manufacturer, when available.
8.7. IngPro Ltd. shall not be liable to the customer in contract, tort or delict (including without limitation negligence) and/or breach of statutory duty for any direct, indirect or consequential including economic loss of any kind which the customer may suffer by reason of any act, omission, neglect or default (including without limitation negligence) in the performance of the contract by IngPro Ltd, its officers, employees, servants or agents.
8.8. Any advice given to the customer by IngPro Ltd, its officers, and employees is given in good faith, and the Customer is solely responsible for the decision to use that advice, and any consequences. IngPro Ltd shall not be liable to the customer in contract, tort or delict (including without limitation negligence) and/or breach of statutory duty for any direct, indirect or consequential including economic loss of any kind which the customer may suffer by reason of using such advice (including without limitation negligence) given by IngPro Ltd, its officers, employees, servants or agents.
8.9. These clauses do not operate so as to exclude any legal or statutory rights of the customer, nor legal or statutory liabilities of IngPro Ltd.
9.0 Termination
9.1. Without prejudice to any rights and remedies available to it, IngPro Ltd. shall be entitled to terminate the contract wholly or in part at any time, on written notice. In the event of termination the customer will pay in full, all outstanding monies owed.
